3. Intellectual Property & Content Protection
All content available on Opennote, including but not limited to videos, graphics, PDFs, flashcards, and other materials ("Content"), is the exclusive property of Opennote and is protected under copyright and intellectual property laws. Users acknowledge that they have no ownership or commercial rights to any materials provided through the Website.
Prohibited Actions:
- Copying, distributing, reproducing, modifying, or creating derivative works of any Content without written permission.
- Sharing your account credentials or providing access to our materials to third parties.
- Using automated means (such as bots or scrapers) to access or download Content.
- Reselling, redistributing, or commercially exploiting any material from Opennote.
- Uploading or sharing content that infringes upon intellectual property rights.
- Using Opennote's content to train, develop, or generate derivative AI models, tools, or other automated systems.

4. AI Functionality
Opennote, at it's core, is an AI platform. By using Opennote, you acknowledge and agree that:
- AI-generated responses and content may not always be accurate or free of errors.
- Your inputs may be used to refine and improve AI models.
- Opennote assumes no liability for any misinformation or reliance on AI-generated content.
- You will not use AI-generated content for cheating, plagiarism, or academic dishonesty, and that your use of AI is in line with those set by your particular educational institution.
- Opennote may store AI interaction data to enhance the quality of its educational resources.
5. Account Registration & Security
To access platform features, users must create an account.
Account Creation Requirements:
- Providing accurate and complete registration information.
- Keeping your password confidential and secure.
- Immediately notifying us of any unauthorized account access.
Multiple accounts created by the same user without approval may be terminated. Any account found engaging in fraudulent activities, including shared access or unauthorized resale of materials, may be permanently banned.
Accounts abusing their privilege of site services are subject to immediate account termination, legal action, or further actions. We regularly monitor account security for this purpose.
6. Payment, Subscription & No Refund Policy
To Cancel Your Subscription:
You reserve the right to cancel your Subscription at any time. If your Subscription is set to renew automatically, you must cancel at least 1 day prior to the expiration of the Subscription term in order to avoid additional charges. You may continue to enjoy your Subscription benefits until that date, after which your Subscription will terminate and your account will automatically downgrade. You can cancel your Subscription in your account settings.
Refunds:
Except where required by law, Subscriptions purchased directly through Opennote are non-refundable. We do not provide any refunds if the price for Subscription plans drops, or if we offer subsequent promotion pricing or change the content or features of the Service.
Price Changes:
We may change the price for Subscriptions from time to time. Price changes for Subscriptions will take effect on the next renewal date following the date of the price change. As permitted by local law, you accept the new price by continuing to maintain your Subscription after the price change takes effect. If you do not agree with the price changes, you have the right to reject the change by canceling the Subscription prior to the price change going into effect.
Opennote, Inc. uses Stripe for Payment Processing. Beyond the details outlined above, any terms of service and policies used by Stripe, Inc. apply to your purchase on Opennote.
7. Licensed Subscriptions & Institutional Use
Licensed subscriptions are available to educational institutions, including schools and school districts. By purchasing a school subscription, the institution agrees to these Terms and ensures that all users, including students and faculty, adhere to them.
If an institution purchases a subscription on your behalf—whether you're a student, teacher, or other authorized user—the same Terms and Privacy Policy apply as if you had purchased the service individually. Institutional users should refer to their school's specific contractual agreement with Opennote, Inc. for additional terms and conditions, which can be obtained from the Director of Technology or another member of your school's faculty and administration.
8. Dispute Resolution & Arbitration
If a dispute arises, we encourage informal resolution. If unresolved, disputes will be settled through binding arbitration under the laws of Your State and Country. Users waive the right to participate in class actions or jury trials.
Arbitration Process:
- Arbitration will be conducted in accordance with the American Arbitration Association (AAA) rules.
- Each party will bear its own legal fees unless the arbitrator rules otherwise.
- The arbitration decision will be final and binding.
- Opting out of arbitration must be done in writing within 30 days of agreeing to these Terms.
9. Disclaimer of Warranties
All materials on Opennote are provided "as is" without warranties of any kind, express or implied. We do not guarantee that:
- The Content is free from errors, inaccuracies, or omissions, nor that it meets your specific learning needs.
- The Website will always be available, uninterrupted, or free from issues.
- The platform will be completely free of security vulnerabilities, viruses, or other harmful components; however, we employ industry-leading security measures, encryption protocols, and continuous monitoring to protect user data and ensure platform integrity.
Opennote may also perform routine maintenance, updates, or improvements, which may temporarily limit or disrupt platform access. While we strive to minimize downtime, you acknowledge that:
